AXISCADES Technologies Limited has announced the acquisition of the remaining 24% stake in Cades Studec Technologies India Private Limited (CSTI), thereby making CSTI a wholly owned subsidiary.  

This strategic move aligns with AXISCADES' goal to enhance its capabilities in technical publications. 

Details of the Acquisition 

On March 16, 2026, the Board of Directors of AXISCADES Technologies approved the acquisition of 1,50,000 equity shares, representing 24% of CSTI's share capital.  

This acquisition was executed through a cash consideration of $1,500,000. With this transaction, CSTI is now fully integrated into AXISCADES, owning 100% of its share capital. 

CSTI, a related party to AXISCADES, operates in the architecture and engineering sector, focusing on technical documentation solutions.  

The acquisition was conducted at arm's length, with no significant financial interest from the promoters or directors of AXISCADES, except for nominal shareholding by key managerial personnel. 

Business Alignment and Strategic Intent 

The acquisition aligns with AXISCADES' business strategy, as CSTI's operations in technical publications complement the company's core activities.  

CSTI is renowned for its expertise in producing digital and 3D-based documentation, serving industries such as aerospace, automotive, and renewable energy. 

The acquisition is expected to be completed by June 2026, subject to the fulfilment of conditions precedent and pre-closing actions. No governmental or regulatory approvals are required for this transaction. 

Financial Overview of CSTI 

CSTI has demonstrated consistent financial performance over the past 3 years. For the fiscal year 2024-25, CSTI reported a turnover of ₹19,84,91,166.54 and a net worth of ₹28,07,11,801.  

The company's turnover for the previous years was ₹19,25,02,535 for FY23-24 and ₹16,94,42,978 for FY22-23.
