As a core pillar of its global trading strategy, the board approved the complete incorporation of a new wholly-owned subsidiary in the United Kingdom, provisionally named APAR Industries UK Limited.
The infrastructure group will back this new entity with a cash subscription cost of £100,000, giving APAR Industries 100% control and ownership over the firm.
The primary commercial objective of this British unit is to manage and drive localized trading operations for the group's core product suites, including conductors, rods, cables, and optical powered ground wires (OPGW).
Furthering its international market penetration, APAR Industries approved an additional capital injection into its existing Brazilian wholly-owned subsidiary, Apar Industries Latam Ltda.
The board cleared a cash investment framework not exceeding BRL 3,000,000 to subscribe to equivalent equity shares at a nominal value of BRL 1.00 each.
This strategic fund infusion is specifically designed to position the group to bid effectively on large-scale infrastructure tenders across South and Latin America, where regulatory norms heavily favor or require local corporate entities.
On the domestic equity front, the board sanctioned the immediate allotment of 9,484 equity shares to eligible workers. This share release was executed against the active exercise of Employee Stock Appreciation Rights (ESARs) under the approved ESAR Plan 2024.
The newly issued equity shares carry a nominal face value of ₹10 each and will rank pari-passu with the company's existing listed shares. Consequent to this allotment, the paid-up share capital of the manufacturer expanded from ₹40,17,42,350 to ₹40,18,37,190.
