Board Approves UK Subsidiary Formation
The Board of Directors, at its meeting held on May 21, 2026, approved the incorporation of an overseas wholly owned subsidiary in the United Kingdom.
The new entity will be incorporated under the name “ABD UK Ltd” or another name carrying “ABD” as a prefix, subject to approval from the relevant authorities.
According to the company, the proposed entity is yet to be incorporated and will be established with an initial capital contribution of 100£ through cash consideration.
Upon incorporation, the new company will become a 100% wholly owned subsidiary of Allied Blenders and Distillers.
Expansion Into International AlcoBev Operations
The proposed subsidiary will operate in the AlcoBev industry and is expected to undertake activities aligned with the company’s existing business segments.
The stated objectives of the entity include distilling, rectifying and blending spirits, trading activities, warehousing operations, beer manufacturing, sale of food and beverages, and wholesale distribution of wine, beer, spirits and other alcoholic beverages.
The incorporation is aimed at creating a platform for expanding the company’s business footprint in international markets while supporting future growth opportunities in the alcoholic beverages segment.
Wholly Owned Structure to Be Maintained
ABDL confirmed that the subsidiary will be established through a cash investment and that the company will retain complete ownership and control.
The disclosure noted that no specific governmental or regulatory approvals are required for the incorporation process.
The move represents another step in the company’s strategy to strengthen its overseas presence through dedicated international entities while maintaining direct ownership of operations.
