Akzo Nobel India Limited’s board has approved a set of corporate and leadership changes as part of a broader transformation plan. The resolutions were passed at a board meeting on January 28, 2026, and will be subject to approvals from shareholders and regulators.
Name Change Proposal and Statutory Amendments
The board has approved a proposal to rename the company JSW Dulux Limited, subject to name availability approval from the Ministry of Corporate Affairs (MCA). The change will also require shareholder approval and final clearance from the Central Government under the Companies Act, 2013.
To reflect the new name, the company will amend relevant clauses in its Memorandum of Association and Articles of Association.
Leadership Restructuring and Appointments
The board approved several changes to the leadership structure. Parth Sajjan Jindal will be appointed Non-Executive Non-Independent Director and Chairman, subject to shareholder approval. Shantanu Maharaj Khosla will be appointed as an Independent Director.
Rajiv Rajgopal, currently Chairman and Managing Director, will be redesignated as Joint Managing Director and Chief Executive Officer, indicating a reallocation of executive responsibilities.
Postal Ballot and Voting Process
The company will seek shareholder approval through a postal ballot process using remote e-voting only. Four special business items will be placed before shareholders:
- Appointment of Parth Sajjan Jindal as Chairman.
- Appointment of Shantanu Maharaj Khosla as Independent Director.
- Change in designation of Rajiv Rajgopal.
- Approval of the proposed company name change and related amendments to corporate documents.
A postal ballot notice, along with an explanatory statement and details of the e-voting process, will be issued in due course.
