Aditya Birla Fashion and Retail Share Price in Focus; Acquires Additional 15.62% Stake in Imperial Online Services

Aditya Birla Fashion and Retail Limited has taken full ownership of Imperial Online Services Private Limited, which operates the Urbano fashion brand. The transaction was completed on September 17, 2026. 

Aditya Birla Digital Fashion Ventures Limited, a wholly owned subsidiary of ABFRL, bought the additional 15.62% stake in Imperial. Its holding has consequently moved from 84.38% to 100%.  

Imperial Comes Fully Under ABDFVL 

The additional stake was purchased for cash under the terms agreed in the Share Subscription and Shareholders’ Agreement signed on July 11, 2022. The agreement had set milestones for ABDFVL to increase its ownership in Imperial through stake purchases or secondary transactions.  

Imperial is now a wholly owned subsidiary of ABDFVL and, in turn, a step-down wholly owned subsidiary of ABFRL.  

Urbano Remains the Core Business 

Imperial was incorporated in 2012 and operates in the fashion, apparel and accessories segment. Its business covers the manufacturing, marketing, and distribution of fashion apparel through both online and offline channels under the Urbano brand.   

The company had paid-up equity share capital of ₹1.29 crore as of the transaction date. 

Imperial’s Revenue Rises To ₹119.38 Crore 

Imperial’s revenue from its business increased to ₹119.38 crore in FY2026, from ₹77.93 crore in FY2025 and ₹66.78 crore in FY2024.  

The latest transaction gives ABDFVL complete ownership of the business after its stake had been built up over time under the 2022 agreement.

Aditya Birla Fashion and Retail Share Price Performance  

As of 18 September 2026, at 12:16 PM, Aditya Birla Fashion and Retail Limited share price is trading at ₹50.05 per share, reflecting a decline of 0.79% from the previous trading session. 

Conclusion 

ABFRL has completed the acquisition of the remaining 15.62% in Imperial Online Services, taking ABDFVL’s ownership to 100%. The Urbano fashion business will now operate entirely within ABFRL’s step-down subsidiary structure.
