
Adani Enterprises Limited has announced that its subsidiary, Adani Road Transport Limited, has completed the acquisition of the remaining stake in DP Jain TOT Toll Roads Pvt Ltd.
The transaction makes the road infrastructure company a wholly owned subsidiary of Adani Road Transport. The move forms part of the group’s strategy to expand its presence in India’s road infrastructure sector.
Adani Enterprises informed stock exchanges that Adani Road Transport Limited has acquired the remaining 49% equity stake in DP Jain TOT Toll Roads Private Limited. The transaction also includes the purchase of 100% optionally convertible redeemable preference shares.
The acquisition was carried out under a previously signed share purchase agreement with D P Jain & Co Infrastructure Private Limited and DPJ-DRA Tollways Private Limited.
Adani Road Transport had earlier acquired a 51% equity stake in the road infrastructure company in February 2026. Following the latest transaction completed on 10 March 2026, DP Jain TOT Toll Roads has become a wholly owned subsidiary of Adani Road Transport.
The company said the acquisition strengthens its position in the transport infrastructure segment.
According to the exchange filing, the acquisition was completed at an enterprise value of up to ₹1,342 crore as of 30 September 2025, subject to closing adjustments. The consideration for the transaction was paid in cash.
The company noted that the deal aligns with its broader strategy to expand its footprint in road development and operations.
DP Jain TOT Toll Roads holds the concession agreement for the tolling, operation, maintenance and transfer of the Palanpur–Radhanpur–Samkhayali section of National Highway 27 in Gujarat.
The company was incorporated in May 2021 and has reported steady growth in turnover over recent years. Its revenue stood at ₹122 crore in FY23, ₹143 crore in FY24 and ₹147 crore in FY25.
Shares of Adani Enterprises Limited traded largely unchanged during the morning session on 11 March 2026. The stock was quoted at ₹1,997.00, marginally higher than the previous close of ₹1,996.50.
During the session, the stock opened at ₹2,006.60 and moved between an intraday high of ₹2,027.40 and a low of ₹1,994.10, indicating limited price movement in early trading.
The acquisition gives Adani Road Transport full ownership of DP Jain TOT Toll Roads, strengthening Adani Enterprises’ presence in the toll road and transport infrastructure segment.
