
Adani Enterprises Limited has announced that the Hon’ble National Company Law Tribunal (NCLT), Ahmedabad Bench, has sanctioned its Composite Scheme of Arrangement.
This scheme involves several Adani entities and aims to streamline operations and enhance shareholder value.
The Composite Scheme of Arrangement involves Adani Green Technology Limited (AGTL), Adani Emerging Businesses Private Limited (AEBPL), Adani Enterprises Limited (AEL), Adani Tradecom Limited (ATL), and Adani New Industries Limited (ANIL).
The scheme has been sanctioned by the NCLT on March 16, 2026, and awaits a certified copy of the order.
Under this scheme, AGTL and AEBPL will be amalgamated into AEL. All equity shares issued by AGTL held by ATL will be cancelled.
As consideration for the amalgamation of AEBPL, AEL will issue 11 equity shares for every 553 equity shares held by AEBPL shareholders.
Additionally, ATL will be amalgamated into ANIL. For this amalgamation, ANIL will issue 1 equity share for every 10 equity shares held by ATL shareholders.
This restructuring is designed to enhance operational efficiency and streamline the corporate structure.
The Effective Date of the Composite Scheme will be the last date on which all necessary approvals and conditions are met.
This date will also serve as the Appointed Date. Adani Enterprises will notify the stock exchanges once the scheme becomes effective.

As of March 16, 2026, at 3:30 PM, Adani Enterprises share price on NSE was closed at ₹1,978.00 up by 0.86% from the previous closing price.
