Adani Enterprises Limited has announced the incorporation of three wholly owned subsidiaries through its step-down arm, Adani Airport City Limited. 

The newly formed entities are Adani Navi Mumbai Airport City Limited, Adani Guwahati Airport City Limited, and Adani Ahmedabad Airport City Limited.

All three companies were incorporated on April 6, 2026, in India. The information regarding their formation was received by the company on April 18, 2026.

Ownership Structure And Control

The newly incorporated entities are wholly owned subsidiaries of Adani Airport City Limited, which itself is a step-down wholly owned subsidiary of Adani Enterprises. This structure ensures that the parent company retains full control over the operations and strategic direction of these new ventures.

Each of the subsidiaries has been established with 100% shareholding held by Adani Airport City Limited.

Business Activities And Sector Focus

The three entities will operate in the real estate sector. Their core business activities will include the development of real estate projects using owned or leased properties.

In addition, they will undertake construction activities either on their own account or through contractual arrangements. The scope of operations also includes the development of hotels with integrated restaurants, banquet facilities, and business centres, indicating a focus on mixed-use airport city developments.

Investment Details

The incorporation has been carried out through cash consideration. Each of the three companies has been set up with a paid-up share capital of ₹10 lakh, consisting of 1,00,000 equity shares with a face value of ₹10 each.

The shares have been subscribed at par value, reflecting a standard initial capital structure for newly formed subsidiaries.
