
In a strategic development that sets the stage for a major restructuring within the Hinduja Group, the Competition Commission of India (CCI) has granted approval for the merger of Hinduja Leyland Finance Limited (HLFL) into NDL Ventures Limited.
The clearance, announced on Wednesday, marks the culmination of regulatory processes for a consolidation initiative poised to redefine the group’s presence in the financial services sector.
Central to this move is a comprehensive merger in which HLFL, an established leader in vehicle financing, will be completely absorbed into NDL Ventures. At present, NDL Ventures is a non-operational entity, but post-merge,r it will emerge as a fully-fledged non‑banking financial company (NBFC).
Under the proposed arrangement, the operations and assets of Hinduja Leyland Finance Limited will be combined with and subsumed into NDL Ventures Limited, effectively creating a stronger, more versatile NBFC platform within the group.
Currently a non-operational entity, NDL Ventures has no active business activities at this time.
HLFL is an NBFC‑Asset Finance Company focused on providing small‑ticket loans to retail customers in urban and semi‑urban markets. Its financing portfolio spans a broad range of vehicle categories, including two‑wheelers, three‑wheelers, light and medium commercial vehicles (LCVs/MHCVs), small commercial vehicles (SCVs), cars, and multi‑utility vehicles. Additionally, HLFL offers loans against property and home loan products, including affordable housing finance.
