Allcargo Logistics Limited has confirmed the successful completion of its Composite Scheme of Arrangement. The move involves the amalgamation of Allcargo Gati Limited, which has been dissolved without winding up.
This marks a significant milestone for the company following the receipt of the Hon'ble National Company Law Tribunal (NCLT) orders.
As per the order passed by the NCLT, the Composite Scheme of Arrangement involving Allcargo Logistics Limited, Allcargo Supply Chain Private Limited (ASCPL), Gati Express & Supply Chain Private Limited (GESCPL), Allcargo Gati Limited, and Allcargo Global Limited (AGL) has been successfully executed. This is in line with Sections 230 to 232 of the Companies Act, 2013. The scheme became effective on November 1, 2025, as announced by Allcargo Logistics.
The scheme entails the dissolution of Allcargo Gati Limited, which has now been amalgamated into Allcargo Logistics Limited. Following the completion of this process, Allcargo Gati Limited’s shares will be delisted from the Bombay Stock Exchange (BSE) and the National Stock Exchange (NSE), with trading on the stock exchanges suspended.
Allcargo Logistics Limited and Allcargo Global Limited filed the certified copy of the NCLT orders in e-Form INC-28 with the Registrar of Companies, Mumbai, Maharashtra, on November 1, 2025. This step formalised the effective date of the scheme and finalised the legal formalities of the amalgamation.

With the dissolution of Allcargo Gati Limited, its shareholders will no longer have the option to trade in its shares, and the company will no longer exist as an independent entity. The shares of Allcargo Gati Limited will soon be delisted from the BSE and NSE as per the respective stock exchange regulations.
On November 3, 2025, Allcargo Logistics share price opened at ₹34.35 on NSE, below the previous close of ₹34.40. During the day, it surged to ₹35.50 and dipped to ₹34.33. The stock closed at ₹35.37by the end of the day. The stock registered a significant gain of 2.82%.
Over the past week, it has moved up by 7.90%, over the past month, it has moved up by 10.15%, and over the past 3 months, it has moved up by 0.43%.
