Adani Enterprises Limited (AEL) has disclosed that its wholly owned subsidiary, Adani Road Transport Limited (ARTL), will acquire full ownership in two highway developers, Yashodhan Highways Private Limited (YHPL) and KN Highways Development Private Limited (KNHDPL). The move further strengthens the group’s infrastructure portfolio.
The deals were formalised on September 30, 2025, when ARTL entered into separate Share Purchase Agreements (SPAs) with DRN Infrastructure Private Limited (DRN), the existing shareholder in both YHPL and KNHDPL. As part of the agreements, ARTL will acquire 100% shareholding in both YHPL and KNHDPL. At the time of execution, ARTL held no stake in either company.
Adani Enterprises clarified that neither YHPL nor KNHDPL nor DRN Infrastructure, are related party to ARTL. The proposed acquisitions, therefore, do not qualify as related party transactions. No board nominees have been appointed, and no conflicts of interest have been disclosed in connection with the agreements. Termination or amendment clauses, as outlined under disclosure norms, were noted as not applicable.
Adani Road Transport Limited (ARTL) is the highways development arm of Adani Enterprises Limited (AEL), which is the flagship incubator of the Adani Group. ARTL focuses on building and operating large-scale road infrastructure projects across India, furthering the group’s vision of nation-building through core infrastructure.
Yashodhan Highways Private Limited (YHPL) and KN Highways Development Private Limited (KNHDPL) are special-purpose vehicles engaged in the development of highway projects. Previously promoted by DRN Infrastructure Private Limited, both companies are now positioned to become part of the Adani portfolio through the planned acquisitions.

As of October 01, 2025, at 1:08 PM, the Adani Enterprises share price is trading at ₹2,492.90 per share, reflecting a decline of 0.52% from the previous closing price.
By acquiring 100% ownership in YHPL and KNHDPL, Adani Road Transport is set to deepen its role in India’s highways sector. With both acquisitions pending regulatory approvals, the deals highlight Adani Enterprises’ ongoing expansion in infrastructure development, further reinforcing its position as a leading player in the country’s transport and logistics ecosystem.
