Adani Defence & Aerospace to Acquire 100% Stake in Indamer Technics, Partnering with Prime Aero

Adani Defence & Aerospace, along with Prime Aero Services LLP, has signed an agreement to acquire Indamer Technics Private Limited (ITPL), as per the reports. The acquisition will be carried out through Horizon Aero Solutions Limited, a 50:50 joint venture between Adani Defence Systems and Technologies Limited and Prime Aero, owned by Prajay Patel, who is also a director at ITPL.
About the ITPL Facility
ITPL operates a greenfield maintenance, repair and overhaul (MRO) facility located in Nagpur’s MIHAN Special Economic Zone. The site covers 30 acres and has space for 15 aircraft bays across 10 hangars. It is approved by the Directorate General of Civil Aviation, the US Federal Aviation Administration, and other international aviation regulators, as per news reports
The company’s operations include lease return checks, heavy C-checks, structural repairs, and aircraft painting. These services are offered to both Indian and international customers.

Integration with Existing Operations
Following the acquisition of Air Works, Adani Defence & Aerospace plans to integrate ITPL’s capabilities to expand services for both commercial and defence aircraft. The company plans to make use of synergies between the 2 MRO businesses.
Adani Enterprises Share Price Performance
As of 10:49 AM on August 12, 2025, Adani Enterprises share price was trading at ₹2,275.20, a 0.36% decrease.
Conclusion
The deal adds to Adani’s existing aviation-related operations and increases available MRO capacity within India. ITPL’s Nagpur facility, along with its regulatory approvals, positions it to service a growing number of domestic and international aircraft.
