A B Infrabuild Limited, in its board meeting held on 30 August 2025, announced significant corporate changes, including a stock split intended to enhance affordability for investors and boost market liquidity.
The company’s directors approved a sub-division of one equity share with a face value of ₹10 into 10 equity shares with a face value of ₹1 each, fully paid-up. This decision, subject to shareholder consent at the forthcoming 15th Annual General Meeting, has been justified as a measure to increase liquidity and make the stock more accessible to retail participants. The record date for the split will be decided once shareholder approval is secured.
To align with the proposed share split, the board also approved amendments to Clause V of the Memorandum of Association, reflecting the new share structure. The draft notice of the 15th AGM, where the split and related resolutions will be put forward, was also cleared during the meeting. These steps confirm the company’s intent to ensure regulatory and shareholder alignment for the restructuring exercise.
The share capital restructuring will alter the distribution of both authorised and paid-up capital without changing their total values. The authorised share capital of ₹75,00,00,000, previously divided into 7,50,00,000 shares of ₹10 each, will now be split into 75,00,00,000 shares of ₹1 each.
Similarly, the issued and paid-up capital of ₹63,87,89,360, earlier spread across 6,38,78,936 shares of ₹10, will be represented by 63,87,89,360 shares of ₹1. The board has indicated that the process will be completed within three months of shareholder approval, with every shareholder continuing to hold their proportional ownership.
