This structure is mandated by Indian regulations to separate ownership from management and trading rights.

The NSE's shareholding pattern reveals a total paid-up equity capital of 2,47,50,00,000 shares. The promoter and promoter group category holds 0% of the shares.  

Public shareholders own 64.44%, while trading members and their associates hold 35.56%. All shares are held in dematerialised form. 

Top Shareholders of NSE 

As of March 31, 2026, the largest shareholder is the Life Insurance Corporation of India (LIC) with a 10.72% stake. Other major shareholders include Aranda Investments (Mauritius) Pte. Ltd. with 4.54% and Stock Holding Corporation of India Ltd. with 4.44%.

The approved foreign ownership limit for NSE is 49%. As of June 30, 2026, the foreign ownership utilised was 27.88%, remaining consistently around 28% in previous quarters.

NSE has several direct subsidiaries, including NSE Clearing Limited and NSE Investments Limited, both 100% owned. Key associates include National Securities Depository Limited with a 15% stake and Receivables Exchange of India Limited with a 30% stake. 

Strategic Divestments and Capital Changes in FY26 

In FY26, NSE reduced its stake in NSDL from 24% to 15%, resulting in a pre-tax gain of ₹1,362.57 crore. A bonus issue increased the paid-up capital to ₹247.50 crore. NSE also divested its stake in Talentsprint for ₹244.85 crore.

Governance and Ownership Implications 

The NSE's Governing Board comprises a majority of Public Interest Directors, ensuring balanced stakeholder interests. No shareholder controls 15% or more of the voting rights. NSE has received SEBI's no-objection certificate for an IPO through an Offer for Sale by existing shareholders. 

Offer Size of NSE IPO  

The NSE IPO  comprises a secondary sale of up to 12,64,36,650 individual equity shares with a nominal face value of ₹1 each. At the lower floor price, the total aggregate offer size is valued at ₹21,486.45 crore.   

If the transaction hits the maximum cap price, the overall offer valuation scales up to ₹22,561.57 crore. This calculation establishes the total post-offer market capitalization between ₹4,20,750.00 crore and ₹4,41,787.50 crore.  

Price Band and Bidding Parameters of NSE IPO  

The equity share pricing window is locked within a strict price band of ₹1,700 to ₹1,785 per equity share. Potential investors can place bids for a minimum of 8 equity shares and in multiples of 8 thereafter.  

 Eligible corporate employees participating via the dedicated reservation portion receive an upfront employee discount of ₹170 per share. The employee segment secures an aggregate share allocation value up to ₹70.00 crore.  

Key Timetable Indicators for NSE IPO  

The bidding timeline for institutional anchor investors opened and successfully concluded on Wednesday, September 16, 2026. The general booking window for the public opens on Thursday, September 17, 2026.   

The entire bidding program is scheduled to close for all category applications on Monday, September 21, 2026. The technical finalization of the basis of allotment with the exchange will happen on Tuesday, September 22, 2026.
