The National Stock Exchange (NSE) has moved a step closer to its long-awaited Initial Public Offering (IPO) after the Securities and Exchange Board of India (SEBI) agreed in principle to settle all pending regulatory cases against the exchange. 

According to NSE, SEBI has agreed to settle the matters for ₹1,491.21 crore, removing a major regulatory hurdle that had delayed the exchange's public listing for several years. 

NSE's ₹1,491.21 Crore Settlement With SEBI 

In an exchange communication, NSE said SEBI, through an email dated July 30, 2026, agreed in principle to accept the settlement terms. 

As part of the settlement: 

  • ₹776.47 crore has already been deposited by NSE with SEBI.  

  • SEBI has raised an additional demand of ₹714.74 crore.  

  • Together, the amount totals ₹1,491.21 crore, which will be adjusted towards the settlement.  

According to the exchange, this represents the settlement of all pending regulatory matters between NSE and SEBI. 

Which Cases Are Covered? 

The settlement includes the long-pending: 

  • Co-location case 

  • Dark fibre case  

The co-location matter dates back to 2015, when certain brokers were alleged to have received preferential access to NSE's trading servers. The case led to multiple investigations, regulatory actions, and legal proceedings over the years. 

The settlement also covers the dark fibre case, which is related to allegations of preferential network access for select trading firms. 

What Does It Mean for the NSE IPO? 

The in-principle settlement removes one of the biggest regulatory hurdles that had delayed the NSE's IPO. 

While the settlement does not amount to an IPO approval, it clears a significant pending issue that had held back the exchange listing plans. The IPO process will continue to be subject to regulatory approvals and other applicable requirements.
