Ananya Birla's Svatantra Microfin filed a red herring prospectus with SEBI on August 13, 2026, for an Initial Public Offering (IPO) to raise funds, as per The Moneycontrol news report.  

The offering includes a mix of fresh issuance, alongside an offer-for-sale from existing shareholders. 

IPO Structure and Stakeholders 

The IPO involves issuing fresh equity shares. Additionally, current stakeholders will offload shares through an offer-for-sale.  

Notably, Advent International’s Violicina plans to sell shares, and Multiples Alternate Asset Management will divest the stake.  

Ananya Birla, along with Antimatter Media, controls 59.97% of Svatantra Microfin. 

Pre-IPO Fundraising and Use of Proceeds 

There is potential for raising an additional fund raise in a pre-IPO round, which would be adjusted from the fresh issue component. The proceeds aim to bolster Svatantra’s Tier I capital, facilitating future capital needs, including lending and asset growth. 

Company Overview and Financial Performance 

Svatantra Microfin, recognised as the first NBFC-MFI in India from 2011, recorded an AUM of ₹23,817.8 crore as of March 2026, with a CAGR of 38.18% over 3 years. Operating 2,253 branches across 23 regions, it serves 43.1 lakh borrowers.  

The firm's profit for FY 2026 was ₹649.4 crore, up 45.8% from the previous year, with net interest income growing to ₹2,496.5 crore from ₹1,920.3 crore.

Market Position and IPO Management 

As the second-largest NBFC-MFI, Svatantra Microfin continues to expand its reach and capacity. The IPO process will be managed by Axis Capital, Avendus Capital, IIFL Capital Services, Kotak Mahindra Capital Company, and SBI Capital Markets.
