About Vardaan Biotech Limited
Vardaan Biotech Limited was originally incorporated as Vardaan Biotech Private Limited on December 20, 2007, under the Companies Act, 1956. The company was subsequently converted into a public limited company pursuant to resolutions passed in January 2021, and its name was changed to Vardaan Biotech Limited. The company is headquartered in Ujjain, Madhya Pradesh, with its corporate office in Hyderabad, Telangana.
The company is engaged in the development, breeding, production, processing, conditioning, and marketing of agricultural seeds. Its product portfolio comprises hybrid, improved, and notified seed varieties across cereals such as paddy, wheat, maize, and bajra; vegetables including tomato, chilli, okra, gourds, cucumber, onion, and watermelon; herbs, pulses, oilseeds, and fodder crops.
Vardaan Biotech operates an integrated seed value chain covering germplasm collection, breeding, hybrid development, contract seed production, procurement and storage, processing, quality testing, packaging, marketing, and farmer advisory services. Its seed production activities are undertaken through organised seed growers and contract farming arrangements, while its processing operations include cleaning, grading, drying, treatment, and conditioning, followed by quality testing and packaging before distribution.
The company markets its seeds through a network of distributors, dealers, and direct sales channels to farmers across various agricultural markets in India. Its operations are focused on supporting agricultural productivity through scientifically developed seeds and quality-focused production practices, with the company serving farmers across Central India through its seed portfolio and related agricultural support initiatives.
Industry Outlook
- The Indian commercial seeds market grew from approximately ₹270 billion in FY2021 to ₹350 billion in FY2026, registering a 5.3% CAGR, supported by greater hybrid-seed penetration, farmer awareness, and government initiatives.
- The market is projected to reach nearly ₹460 billion by FY2030, implying a faster 7.1% CAGR from FY2026–FY2030, driven by demand for high-yielding, pest-resistant, and climate-resilient seed varieties.
- Hybrid seeds accounted for around 70% of the commercial seeds market in FY2026, reflecting strong adoption in crops such as cotton, maize, vegetables, sunflower, and selected paddy varieties. Their share is projected to rise to 76% by FY2030.
- India’s large and diversified agricultural base provides a substantial addressable market for seed companies, with the country being the world’s second-largest producer of rice and wheat and the largest producer of pulses and millets.
- Private seed companies accounted for nearly 71% of India’s total seed production in 2024, highlighting the growing role of organised private players, particularly in high-value crops such as vegetables, horticulture, cotton, and maize.
- Seed Replacement Rates are expected to improve steadily across major crops, with maize maintaining the highest SRR and millets expected to see particularly rapid improvement, supporting greater adoption of certified and improved seeds.
- Vegetables are expected to gain importance within the market, with their share projected to increase from 20% in FY2026 to 23% by FY2030, making the segment one of the faster-growing areas of the commercial seeds industry.
- Industry growth is also being supported by the shift toward climate-resilient, high-yielding, and region-specific seed varieties, alongside rising mechanisation and precision farming. However, surplus availability remains a risk, with Kharif 2026 seed availability estimated at 185.74 lakh quintals versus demand of 166.46 lakh quintals.

The company proposes to utilise the net proceeds from the IPO for the following objectives:
- Funding capital expenditure requirements.
- Funding the purchase of office premises at Vadodara, Gujarat.
- Funding the working capital requirements of the company.
- Towards general corporate expenses.

Strengths and Opportunities of Vardaan Biotech
Vardaan Biotech operates an integrated seed business spanning germplasm collection, breeding, hybrid development, contract production, processing, quality testing, packaging and distribution. This end-to-end model provides greater control over seed quality and the overall value chain.
The company has a diversified portfolio covering cereals, vegetables, herbs, pulses, oilseeds and fodder crops, including paddy, wheat, maize, bajra, mustard and soybean. This diversification allows it to cater to different cropping seasons, agro-climatic conditions and farmer requirements.
Vardaan Biotech has established a presence across 9 states and operates through a network of more than 700 dealers. This distribution infrastructure provides a platform for deeper penetration in existing markets and expansion into new agricultural regions.
The company serves more than 30,000 farmers across Central India and supplements seed sales with agronomic support, including seed selection, crop management, sowing and crop-protection guidance. Such farmer engagement can strengthen product adoption and long-term customer relationships.
Revenue from operations increased from ₹14,014.33 lakh in FY24 to ₹16,709.37 lakh in FY26, while PAT rose from ₹1,647.88 lakh to ₹1,834.82 lakh. The company also maintained an EBITDA margin of around 17% during this period, indicating relatively stable operating profitability.
Its Ujjain processing facility has an installed capacity of 1,15,50,000 kg per annum and supports cleaning, grading, treatment, conditioning, packaging and storage. The proposed acquisition of 8,800 sq. metres of land for processing-unit expansion could support higher volumes and future growth.
Vardaan Biotech follows a structured breeding programme involving initial and advanced hybrid trials, farmer field trials and multi-location trials before commercial release. Further strengthening its breeding capabilities could help introduce improved varieties suited to changing climatic conditions and evolving farmer needs.
The company plans to strengthen its presence in southern India while selectively entering new domestic markets where commercial seed adoption is increasing. Its existing dealer network and presence across multiple states provide an established base for such geographical expansion.
Vardaan Biotech also intends to explore export opportunities in selected international markets and increase technology-enabled marketing and online sales. A successful export and digital expansion strategy could diversify its revenue base beyond its existing domestic markets.
Risks and Threats of Vardaan Biotech
Vardaan Biotech’s business is significantly exposed to weather conditions, crop diseases, pests and other environmental factors. Changes in rainfall, temperature, soil moisture or extreme weather events can affect seed germination, crop yields, farmer demand and ultimately the company’s sales and profitability.
The company has significant dependence on a few key products, particularly maize, paddy and wheat seeds. Any decline in demand, adverse price movements, changes in production conditions or increased competition in these categories could materially affect its financial performance.
Vardaan Biotech’s procurement activities are concentrated in Telangana, Madhya Pradesh and Gujarat. Any adverse weather event, supply disruption, regulatory change or other issue in these states could affect the availability of raw materials and disrupt its production and distribution operations.
The company’s revenue remains geographically concentrated, with Madhya Pradesh and Maharashtra together accounting for 55% of revenue from operations in FY26. A slowdown in agricultural activity, adverse weather or changes in farmer demand in these markets could therefore have a disproportionate impact on revenue.
The company’s performance depends on its ability to continuously develop new and improved seed varieties. Failure to successfully develop commercially viable products, keep pace with technological advances or adapt seeds to changing agro-climatic conditions could weaken its competitive position.
Vardaan Biotech faces fluctuations in the procurement prices and availability of agricultural materials used in its business. Any increase in input costs or shortage of suitable seed material could raise operating costs, constrain production or adversely affect margins.
Seed sales are inherently seasonal and depend on crop cycles, sowing periods and prevailing agricultural conditions. Fluctuations in sales volumes and average selling prices could result in variability in revenue and profitability, while incorrect demand forecasting could also lead to inventory shortages or excess stock.
The company faces regulatory and compliance risks because its operations require various licences, registrations, approvals and permissions from central and state authorities. Certain approvals may expire or require renewal, while delays or failures in obtaining required approvals could adversely affect operations and cash flows.
Vardaan Biotech faces legal and reputational risks, including pending proceedings involving its promoter and complaints under the Seeds Act. The DRHP also discloses 22 complaints under the Seeds Act based on publicly available information, and any adverse outcome or continued regulatory scrutiny could affect the company’s reputation and operations.
