Risks and Threats of Vama Wovenfab IPO
Customer Concentration & Long-Term Contracts: A substantial share of revenue comes from a limited number of institutional buyers. The company relies on purchase orders without guaranteed minimum off-take or fixed pricing, exposing revenue to customer attrition and pricing pressure.
Raw Material Price Volatility: PP and HDPE granules are crude oil derivatives and may experience price fluctuations of 20% to 40%. The absence of long-term supply agreements with polymer manufacturers can expose margins to spot market price increases.
Single Manufacturing Location: Operations are concentrated at one facility in Bhimpore, Daman. Operational disruptions, natural calamities, power outages or infrastructure issues could affect overall production.
Dependence on Promoters: The business relies significantly on the continued involvement of Suresh Mohanlal Gupta, Vaibhav Suresh Gupta, Saurabh Suresh Gupta and Nisha Vaibhav Gupta. The company does not have key person insurance.
Negative Operating Cash Flows: The company reported negative cash flows from operating activities of ₹631.47 lakh in FY26 and ₹232.51 lakh in FY25, while cash flows from investing activities were negative in FY24, FY25 and FY26.
High Working Capital & Inventory: The company had inventory of ₹4,477.85 lakh in FY26, along with trade receivables, which can tie up working capital and increase financing requirements.
Secured Borrowings: Total secured debt stood at ₹2,543.95 lakh in FY26, backed by security over plant and machinery, factory property and certain promoter residential assets.
Pending Machinery & Civil Work Orders: As of the RHP date, firm purchase orders had not been placed for the factory shed construction of ₹136.30 lakh and machinery procurement of ₹724.52 lakh proposed to be funded from the Net Proceeds, creating a risk of delays or cost overruns.
Pending Legal & Tax Matters: The company and its promoters are involved in certain legal proceedings, including a case under Section 138 of the Negotiable Instruments Act. Direct tax proceedings involving ₹2.15 lakh are also pending.
Historical Compliance Issues: The RHP discloses past procedural non-compliances, including delays in filings such as Form MGT-14 and Form DPT-3, along with historical gaps in maintaining cost records for certain years.
Intense Competition: The woven packaging industry is fragmented and price-sensitive, with limited product differentiation and competition from organised as well as unorganised players.
Environmental Regulations & Substitutes: Increasing plastic waste regulations, EPR requirements and restrictions on single-use plastics may affect demand. Alternatives such as paper, jute, nonwoven materials and biodegradable films could also compete with plastic packaging.
SME Listing & Liquidity Risk: The IPO represents the company's first public issue and will be listed on the BSE SME platform, where trading volumes and liquidity may be lower than those of mainboard-listed companies.
