About Tonbo Imaging India Limited IPO

Tonbo Imaging India Limited, a Bengaluru-based defence electronics original equipment manufacturer (OEM) specialising in advanced electro-optical and infrared (EO/IR) imaging systems, has filed its Draft Red Herring Prospectus (DRHP) dated August 4, 2026, for a 100% book-built initial public offering (IPO). The issue is structured entirely as an Offer for Sale (OFS) of up to 18,085,246 Equity Shares of face value ₹2 each, with no fresh issue component, meaning the company will not receive any proceeds from the offer.

The equity shares are proposed to be listed on the BSE and the NSE, with JM Financial Limited and IIFL Capital Services Limited acting as the Book Running Lead Managers and KFin Technologies Limited as the Registrar to the Issue. Key details, including the IPO dates, price band and lot size, are yet to be announced.

About Tonbo Imaging India Limited

Originally incorporated in December 2003, Tonbo Imaging India Limited is a Bengaluru-based defence electronics original equipment manufacturer (OEM) that specializes in designing, developing, and manufacturing advanced imaging, sensing, processing, communication, and guidance systems for surveillance, reconnaissance, targeting, and control.

The company builds full-stack electro-optical and infrared (EO/IR) technologies across land, air, and naval domains. Its product portfolio spans tactical systems (such as thermal weapon sights and handheld/helmet-mounted devices like Arjun, Spartan, and Bloodhound), platform-grade multi-sensor stabilised gimbals, missile seekers, and counter-unmanned aerial/directed-energy systems. Tonbo operates under India's Indigenously Designed, Developed and Manufactured (IDDM) framework and supplies non-ITAR, proprietary intellectual property–driven systems to defence forces, homeland security agencies, and global OEMs across more than 24 countries.

Driven by an in-house R&D team and an asset-light contract manufacturing model, the company reported consolidated revenue from operations of ₹3,626.48 million and a net profit of ₹508.80 million for Fiscal 2026.

Industry Outlook

  • Under the Defence Acquisition Procedure (DAP 2020), policy frameworks such as "Make in India" and the Indigenously Designed, Developed, and Manufactured (IDDM) category require at least 50% indigenous content on a cost basis.

  • The battlefield adoption of loitering munitions and unmanned aerial systems (UAS) has driven demand for Counter-UAS (C-UAS), directed energy systems (DES), and non-ITAR, modular imaging architectures.

  • The EO/IR sector is transitioning from traditional passive imaging to AI-driven "intelligent surveillance," incorporating automated target recognition (ATR), computer vision, and sensor fusion for real-time edge processing.

  • While India is building domestic precision manufacturing capabilities, the industry currently navigates interim dependencies on global suppliers for raw materials (such as Germanium) and critical components (cooled/uncooled infrared focal plane arrays and micro-displays).

  • Governments and armed forces are increasingly utilizing emergency procurement and fast-track acquisition routes alongside multi-year conventional programs to upgrade situational awareness and battlefield technology.

Tonbo Imaging India Limited IPO Objectives

The Tonbo Imaging India Ltd. IPO is a 100% Offer for Sale (OFS), the company will not receive any proceeds from the Offer. The entire proceeds from the Offer for Sale (net of offer-related expenses and applicable taxes) will be received directly by the Selling Shareholders (including Promoters, Promoter Group, and Investor Selling Shareholders like CEAQ Technologies) in proportion to the shares sold by each.

Strengths and Opportunities of Tonbo Imaging India Limited IPO

  1. Complete in-house ownership of core technologies spanning infrared imaging, optical design, embedded AI/edge computer vision, precision stabilisation, and guidance algorithms.

  1. Systems are designed free from US International Traffic in Arms Regulations (ITAR) restrictions, allowing Tonbo to market and export advanced electro-optics globally without US export bottlenecks.

  1. Offers tailored solutions across tactical soldier systems (thermal weapon sights like Arjun, Spartan, and Bloodhound), platform-grade stabilized payloads/gimbals for land/air/naval vehicles, and emerging directed energy/counter-drone systems.

  1. Retains high-margin research, core design, and pilot engineering in-house while scaling commercial production through electronics manufacturing services (EMS) partners like Kaynes Technology and Avalon Technology.

  1. Meets the Indigenously Designed, Developed, and Manufactured (IDDM) framework under India’s Defence Acquisition Procedure (DAP 2020) with over 50% indigenous content, providing an edge in domestic defence tenders.

  1. Escalating geopolitical tensions and multi-domain warfare have accelerated the procurement of Intelligence, Surveillance & Reconnaissance (ISR), night-vision, and precision targeting systems.

  1. Increasing proliferation of drone threats creates demand for Tonbo’s radio frequency-based directed-energy weapons, loitering munition seekers, and high-power microwave systems.

  1. The Indian government’s focus on defence indigenisation, negative import lists, and higher capital budget allocation for domestic procurement provide substantial domestic order expansion.

  1. Expanding partnerships with Tier-1 global prime contractors and system integrators to embed Tonbo's optronic payloads into third-party armoured vehicles, UAVs, and naval turrets.

Risks and Threats of Tonbo Imaging India Limited IPO

  1. The company relies on standalone, tender-based government procurement, which is subject to budget cycles, lengthy evaluation timelines, and episodic surges during border conflicts. This causes inconsistent revenue visibility, lumpiness in order inflows, and unpredictable forecasting.

  1. Tonbo operates on an asset-light model where mass manufacturing is outsourced primarily to contract partners like Kaynes Technology and Avalon Technology. This leaves the company vulnerable to supplier-side disruptions, quality control lapses, intellectual property leakage, or capacity constraints, which could delay deliveries and damage client relationships.

  1. he company reported negative operating cash flows of ₹(632.16) million in FY26 and ₹(1,361.19) million in FY25, driven by surging inventory levels and working capital lock-in. Persistent negative cash flows strain liquidity, increase reliance on short-term debt, and could hinder the funding of day-to-day operations or R&D initiatives.

  1. Core electro-optics rely on scarce raw materials (such as Germanium, which faces export restrictions from China) and specialized imported components (focal plane arrays and micro-displays).

  1. Contracts awarded via competitive bidding are fixed price, with delivery cycles spanning 6 to 24 months. The company bears 100% of input cost escalations, currency variations, and delays, which directly compresses operating margins and strains working capital.

  1. A significant portion of revenue is concentrated among a few top defence clients (top 10 customers contributed 77.83% in FY26 and 95.49% in FY25), without recurring subscription or annuity arrangements. The loss of a key defence customer shifts in national defence budgets, or the inability to continuously win fresh tenders can lead to sharp revenue drops.

  1. Defence and combat equipment must meet exacting field-test standards and often require performance bank guarantees (typically 3%–5% of contract value).

  1. To qualify under the Indigenously Designed, Developed, and Manufactured (IDDM) route, products must maintain a minimum of 50% indigenous content on a cost basis, and ownership/control must remain with Indian citizens. Failure to maintain the 50% threshold risks tender disqualification, contract termination, and debarment from future Ministry of Defence procurements.

  1. International sales require individual SCOMET export licenses and are vulnerable to changing trade policies, cross-border tariffs, and international sanctions.
