Risks and Threats for Online Instruments (India) IPO
AVSI solutions contributed 72.76% of revenue from operations in the nine months ended December 31, 2025, compared with 65.08% in FY2025. On a pro forma basis, the contribution increased to 83.80% for the same period, indicating higher concentration in this business.
The top 10 customers accounted for 58.30% of revenue from operations in the nine months ended December 31, 2025, compared with 53.03% in FY2025. The company does not have long-term sales agreements with minimum purchase obligations, increasing its exposure to customer loss or lower orders.
Delays in AVSI projects could lead to liquidated damages, cost overruns, cancellations and reputational damage. Project timelines can depend on customer site readiness, other contractors and timely completion of design, procurement, installation, testing and commissioning.
The top 10 suppliers accounted for 55.18% of total purchases in the nine months ended December 31, 2025. The company does not have long-term supply agreements with its suppliers, exposing it to supply disruptions and pricing risks.
Imports accounted for 44.00% of total purchases in the nine months ended December 31, 2025, with imports from China alone contributing 28.17%. On a pro forma basis, imports accounted for 57.40% of purchases, exposing the company to shipping delays, tariffs, currency fluctuations and import restrictions.
The company sells its LOGIC-branded products through distributors on a non-exclusive basis. Distributors can promote competing products or discontinue distribution, which could affect the company’s sales and market reach.
The company does not have long-term agreements with minimum purchase commitments for its AVSI business or with its major customers and suppliers. As projects are awarded largely through purchase orders, future revenue and supply availability may remain subject to project wins and customer demand.
