About Iberia Pharmaceuticals India Limited

Iberia Pharmaceuticals India Limited was incorporated on March 30, 2013, as Satnam Medical Agencies Private Limited under the Companies Act, 1956. The company subsequently changed its name to Iberia Pharmaceuticals India Private Limited pursuant to a shareholders' resolution dated August 11, 2023.

It was converted into a public limited company under its present name, Iberia Pharmaceuticals India Limited, following a fresh certificate of incorporation dated July 15, 2024. The company is engaged in the marketing, distribution, and sale of pharmaceutical, derma cosmetic, and wellness products in India and selected international markets, with a focus on aesthetic dermatology, skin care, hair care, cardio diabetic care, and general therapeutics.

The company operates in India's pharmaceutical and derma cosmetics industry, offering a portfolio of prescription-based pharmaceutical products, healthcare professional-recommended products, and over-the-counter solutions.

Its product portfolio comprises six brands: Sesderma, Mediderma, Noreva, Dermpix, KeyCi, and Metacare. Dermpix, KeyCi, and Metacare are its proprietary brands, while Sesderma and Mediderma originate from Spain and Noreva originates from France, for which the company has exclusive distribution arrangements. Its dermatology portfolio includes products addressing hyperpigmentation, acne, skin aging, wrinkles, skin rejuvenation, hair loss, and other skin and hair care concerns. Its flagship brand, Sesderma, incorporates specialized formulation technologies, including nanotechnology and liposomal formulations. The cardio diabetic portfolio is marketed under Metacare and includes products addressing hypertension, dyslipidaemia, diabetes, and nutritional deficiencies.

The company follows an asset-light business model and primarily relies on third-party contract manufacturers for the production of its proprietary brands. As of March 31, 2026, it engaged 16 third-party manufacturers for producing its products. These manufacturers are selected based on their manufacturing capabilities, quality management systems, regulatory approvals, and cost-effectiveness.

The company generally enters into manufacturing agreements for periods ranging from two to five years. Its proprietary brands, namely Dermpix, KeyCi, and Metacare, are manufactured according to its specifications and quality requirements. The company oversees quality assurance and regulatory compliance, including the inspection of raw materials, packaging materials, manufacturing processes, and finished products. Its foreign brands, including Sesderma, Mediderma, and Noreva, are manufactured by their respective brand owners and procured through authorized distribution arrangements or direct imports. The company is also developing its own manufacturing capabilities as part of its expansion strategy.

Iberia Pharmaceuticals India has established a nationwide distribution network comprising 472 stockists as of March 31, 2026. Its distribution operations are supported by a network of stockists and medical representatives who promote and market its products to healthcare professionals across multiple states and union territories in India. The company primarily generates revenue from domestic product sales while also exporting products to international markets.

During the last three financial years covered in the prospectus, it exported products to Nepal, Sri Lanka, and Kenya. Additionally, it has exclusive distribution arrangements for Sesderma and Mediderma products across India, Nepal, Bangladesh, Bhutan, Sri Lanka, the United Arab Emirates, and Myanmar. Its products are also available through online marketplaces via its group company, Iberia Skinbrands India Private Limited. The company launched KeyCi in Fiscal 2025 as an online-exclusive proprietary brand marketed through direct-to-consumer channels and e-commerce marketplaces.

The company's operations involve the procurement of finished pharmaceutical and cosmetic products from third-party manufacturers and foreign brand owners rather than operating its own manufacturing facilities. For proprietary brands, third-party manufacturers procure the necessary raw materials and packaging materials from their respective vendors after obtaining the requisite regulatory approvals. The company exercises quality oversight over these manufacturing activities and conducts product-specific evaluations through independent testing laboratories, wherever applicable.

Its quality assurance procedures include dermatological Primary Irritation Patch Tests to assess skin compatibility and in-vivo Sun Protection Factor studies for selected sunscreen formulations. Pharmaceutical products are manufactured by partners holding the requisite licenses and approvals under the Drugs and Cosmetics Act, 1940, while cosmetic products are manufactured in accordance with applicable requirements under the Cosmetic Rules, 2020.
