Book Running Lead Manager (BRLM)
The Lead Manager (LM) plays a crucial role in the pre-issue process of a company's public offering. This includes conducting due diligence on the company's operations, management, business plans, and legal aspects. The LM is also responsible for drafting and designing offer documents, prospectus, and statutory advertisements, as well as preparing a memorandum with key information about the prospectus. The LM must ensure compliance with all requirements and formalities set by the Stock Exchanges, RoC, and SEBI, and finalizing the prospectus and filing it with the RoC. The LM also appoints other intermediaries such as Registrars, Printers, Advertising Agencies, and Bankers to the Offer. Additionally, the LM devises marketing strategies for the issue.
Post-issue, the LM manages activities such as coordinating non-institutional allocation, informing bidders of their allocation, and issuing refunds. The post-offer activities involve essential follow-up steps, including finalizing trading and delivery of shares
