VRL Logistics Ltd. has announced the issuance of bonus shares, marking a significant move during its board meeting held on Friday, July 4. The board has approved a 1:1 bonus issue, entitling existing shareholders to one additional share for every share held.

The company noted in its exchange filing that the record date for determining eligible shareholders will be communicated at a later date.

VRL’s First Bonus Issue Since Listing

This marks the first time VRL Logistics is rewarding shareholders with bonus shares. Previously, in 2023, the company had executed a ₹61 crore share buyback but had not undertaken any bonus issuance until now.

Bonus to Be Issued from Available Reserves

According to the company's filing, the bonus shares will be issued from the securities premium account, general reserve, capital redemption reserve, and retained earnings available as of March 31, 2025.

Expected Credit by September 2, 2025

The credited bonus shares are scheduled to be allotted to eligible shareholders on or before September 2, 2025.

Only investors who purchase shares before the ex-date will qualify to receive bonus shares. Buying on or after the ex-date will disqualify shareholders from the bonus entitlement.
