The Competition Commission of India has granted approval for the proposed consolidation involving Hinduja Leyland Finance Limited and NDL Ventures Limited. 

Merger Structure 

The transaction involves the merger of Hinduja Leyland Finance Limited into NDL Ventures Limited. NDL Ventures currently does not operate any active business. Following the combination, the business operations of HLFL will be consolidated under NDL Ventures. 

About Hinduja Leyland Finance 

Hinduja Leyland Finance Limited operates as a Non-Banking Financial Company classified as an Asset Finance Company. The company focuses primarily on small ticket size lending across urban and semi-urban retail segments. 

Its financing portfolio includes two wheelers, three wheelers, light commercial vehicles, small commercial vehicles, medium and heavy commercial vehicles, cars, and multi-utility vehicles. The company also extends loans against property, home loans, and affordable housing loans.

NDL Ventures Share Price Performance  

As of February 18, 2026, at 11:00 AM, NDL Ventures share price is trading at ₹116.98 per share, reflecting a gain of 19.99% from the previous closing price. Over the past month, the stock has gained by 21.16%. 

Conclusion 

With the regulatory clearance in place, the proposed merger between Hinduja Leyland Finance and NDL Ventures moves ahead, subject to issuance of the detailed order by the Commission.
