Azim Premji’s PE Firm Acquires 2.61% Unit Holding in NHIT for ₹754 Crore

On December 22, 2025, private equity firm Premji Invest, through Prazim Trading and Investment Company Pvt Ltd, acquired a 2.61% unit-holding in National Highways Infra Trust (NHIT) for ₹754 crore via open market transactions, as per Bloomberg report. 

Premji Invest's NHIT Acquisition via Prazim Trading 

Prazim Trading and Investment Company Pvt Ltd, linked to Premji Invest and part of Wipro's promoter group, purchased 5.06 crore units of NHIT. The acquisition was executed at an average price of ₹149.06 per unit, resulting in a total transaction value of ₹754.24 crore. The transaction was listed in the bulk deal data on the National Stock Exchange (NSE). 

Simultaneously, Vidyaniti LLP sold the exact number of units at the same transaction value and price, according to the same NSE data. 

Transaction Context and NHIT Background 

NHIT, backed by the National Highways Authority of India (NHAI), was established in 2021 as an infrastructure investment trust to aid in the funding of the National Monetisation Pipeline.  

The trust enables the monetisation of national highway assets by providing institutional investors an opportunity to invest in operational assets. 

Prior to this transaction, in March 2025, Vidyaniti LLP, among other entities, had acquired a 4.25% unit-holding in NHIT for ₹1,100 crore from NHAI.

Conclusion 

Premji Invest, through its affiliate Prazim Trading, acquired a 2.61% stake in NHIT for ₹754 crore. The transaction reflects unit transfers between institutional entities and continues NHIT’s role in facilitating funding for infrastructure monetisation.
