The transaction, valued at approximately ₹1,225 crore, involves a mix of primary and secondary share purchases and remains subject to due diligence and customary closing conditions.
Upon completion, the target entity will become a subsidiary of Waaree Renewable Technologies.
Waaree Renewable Technologies Limited informed stock exchanges that its Board of Directors, at a meeting held on 26 January 2026, approved entering into a binding term sheet to acquire approximately 55% of the equity share capital of Associated Power Structures Limited.
The proposed transaction is subject to completion of due diligence and fulfilment of standard closing requirements.
The acquisition is expected to be completed by 30 April 2026.
The total consideration for the acquisition is estimated at around ₹1,225 crore, comprising a combination of primary and secondary share purchases. The payment will be made in cash through banking channels. Following completion, Associated Power Structures Limited will become a subsidiary of Waaree Renewable Technologies Limited.
The company confirmed that the transaction does not fall under related party transactions and that promoters or promoter group entities have no interest in the target company.
Associated Power Structures Limited (ASPL), incorporated on 21 May 1996, operates in the power transmission and distribution segment serving infrastructure projects. The company is based in India and undertakes projects in multiple overseas markets.
