
Hindustan Unilever announced that its ice‑cream business, Kwality Wall's, will be listed as a separate entity on both the Bombay Stock Exchange and the National Stock Exchange from February 16, 2026.
The listing and trading approval was received on February 12, 2026. A total of 2,34,95,91,262 equity shares will be issued. The share entitlement ratio is set at 1:1, meaning each Hindustan Unilever share held on the record date will generate one Kwality Wall's share.
The record date is December 5, 2025, and the allotment date is December 29, 2025. The ice‑cream business contributes roughly 3% of Hindustan Unilever’s annual turnover, amounting to ₹1,800 crore.
The demerger scheme received approval from the National Company Law Tribunal on October 30, 2025. The move follows Unilever’s global decision to separate its ice‑cream operations.
Existing Hindustan Unilever shareholders will automatically receive the new shares without any cash transaction. The free‑share issue is recorded in the shareholder register as of December 5, 2025, record date.

Following the announcement on February 13, 2026, Hindustan Unilever’s share price closed at ₹2,305, a decline of over 4% from the previous session.
The demerger does not alter the total market capitalisation of the combined entities, but it creates a distinct listed vehicle for the ice‑cream brands Kwality Wall's, Cornetto and Magnum.
Kwality Wall's will commence trading on BSE and NSE on February 16, 2026, with a 1:1 share entitlement for Hindustan Unilever shareholders. The demerger has been cleared by the NCLT and aligns with Unilever’s global strategy to separate its ice‑cream business.
