On December 10, 2025, Akzo Nobel Coatings International B.V. (one of the erstwhile promoters of Akzo Nobel India Limited) sold 1,10,66,791 equity shares, representing 24.30% of the company's paid-up equity share capital, to JSW Paints Limited. This transaction was executed through an off-market deal.
Similarly, Imperial Chemical Industries Limited (one of the erstwhile promoters of Akzo Nobel India Limited) offloaded 1,66,03,504 equity shares, accounting for 36.46% of the company's equity share capital, also to JSW Paints.
Impact on Shareholding Structure
Prior to these transactions, Akzo Nobel Coatings International B.V. held 1,10,66,791 shares, equivalent to 24.30% of the total share capital. Post-sale, their holding stands at nil. Imperial Chemical Industries Limited, which initially held 2,07,00,529 shares or 45.46% stake, now retains 40,97,025 shares, representing 9% of the total share capital.
JSW Paint Completes Acquisition Process from Promoters
JSW Paint acquisition of 60.76% shares of Akzo Nobel India Limited contemplated under the Share Purchase Agreement (SPA) has now been completed.
JSW Paint now holds 27,871,723 equity shares, representing 61.2% of the paid-up equity share capital of Akzo Nobel India Limited.
