
Info Edge (India) Limited, in its Committee of Executive Directors meeting held on November 26, 2025, approved significant investments in its wholly-owned subsidiaries.
The company will invest ₹5 crore in Smartweb Internet Services Limited and approximately ₹70 crore in Startup Investments (Holding) Limited. These investments aim to strengthen the subsidiaries’ financial positions and support their business objectives.
Smartweb, incorporated on September 23, 2015, is engaged in providing internet services, financial advisory, investment management, and alternative investment fund sponsorship. As of March 31, 2025, Smartweb reported a turnover of ₹41.39 crore, a PAT of ₹5.03 crore, and a net worth of ₹60.91 crore.
The proposed investment involves acquiring 5,00,000 Compulsorily Convertible Debentures (CCDs) at a face value of ₹100 each. Smartweb will continue as a wholly-owned subsidiary, and the investment is expected to enhance its fund availability, strengthen financials, and support growth initiatives.
SIHL, incorporated on March 4, 2015, primarily invests in tech companies and alternative investment funds. As of March 31, 2025, it reported a PAT of ₹0.86 crore and a negative net worth of ₹209.50 crore.
Info Edge will acquire 2,916,666 CCDs at an issue price of ₹240 each, including a premium of ₹140 per CCD, amounting to about ₹70 crore. This cash infusion will enable SIHL to explore new investment opportunities and contribute to alternative investment funds, supporting the subsidiary’s growth strategy.
Both investments fall under related party transactions, as Info Edge already holds 100% stakes in Smartweb and SIHL. The investments are being made at arm’s length and no additional regulatory approvals are required. Completion of both investments is expected within 30 days of approval.
On November 27, 2025, Info Edge share price (NSE: NAUKRI) opened at ₹1,347.00, touching the day’s low at ₹1,316.50, as of 10:25 AM on the NSE.
