Aditya Birla Capital Limited (ABCL) has completed a major fundraising exercise through the allotment of partly paid, secured, rated, listed, taxable, redeemable non-convertible debentures (NCDs). The securities, issued on a private placement basis, were allotted on 12 September 2025, and together aggregated ₹3,400 crore.

Issue Details and Structure

The total allotment comprised 3,40,000 debentures, each carrying a face value of ₹1,00,000. The aggregate issue size stood at ₹2,000 crore, with a green shoe option up to ₹2,000 crore, taking the total raised to ₹3,400 crore. The issue was split into 2 inflows, ₹1,700 crore was received on 12 September 2025 (Tranche 1, partly paid at ₹50,000 per debenture), while another ₹1,700 crore will flow in on 14 October 2025 (Tranche 2, balance ₹50,000 per debenture).

The NCDs are proposed to be listed on both BSE and NSE. The tenor of the instruments is 3,651 days, or nearly 10 years, with redemption scheduled for 11 September 2035.

Coupon Payments and Redemption Schedule

The secured debentures carry a fixed coupon rate of 7.61% per annum. Coupon payments will be made annually, starting with the first payment of ₹7,276.41 on 12 September 2026. From 2027 to 2034, annual coupon payments will be ₹7,610 each year, with the final coupon of ₹7,589.15 payable on 11 September 2035.

On maturity, the company will redeem the debentures at ₹1,00,000 per debenture, alongside the final coupon. The instruments are backed by a first pari passu charge in favour of the Debenture Trustee, covering receivables, securities, current and future movable assets identified by the company.

As of September 12, 2025, at 3:30 PM, Aditya Birla Capital share price is trading at ₹291.00 per share, reflecting a gain of 0.34% from the previous closing price. Over the past month, the stock has gained by 8.56%.
