Adani Ports Gets NCLT Nod for Initial Merger of Adani Harbour Services

NCLT Ahmedabad has approved the first stage of Adani Harbour Services’ merger with Adani Ports, clearing the path for consolidation from July 2025.

Adani Ports and Special Economic Zone Limited has received a key legal clearance after the National Company Law Tribunal’s Ahmedabad bench approved the 1st-stage application for the merger of its wholly owned subsidiary, Adani Harbour Services Limited, as per Business Standard reports.  

The order allows the amalgamation process to move ahead without convening stakeholder meetings and marks an important step in the group’s ongoing consolidation strategy. 

NCLT Approval and Merger Structure 

The Ahmedabad bench of the NCLT, comprising Judicial Member Chitra Hankare and Technical Member Velamur G Venkata Chalapathy, granted in-principle approval to the scheme filed under Sections 230 to 232 of the Companies Act.  

The tribunal observed that the merger does not harm any class of stakeholders and is in the interest of the companies, their shareholders, creditors, employees and the public. 

The proposed appointed date for the merger is July 1, 2025. Adani Harbour Services is a 100% owned subsidiary of Adani Ports, and as a result, the scheme does not involve any issuance of new shares or changes to the share capital of the listed parent company. Consequently, the rights of Adani Ports’ shareholders will remain unchanged. 

Financial Position and Expected Impact 

While examining the financials, the tribunal noted that as of March 31, 2025, Adani Harbour Services reported assets exceeding liabilities by ₹14,339.75 crore. On a standalone basis, Adani Ports recorded a surplus of ₹30,436.59 crore.  

The order further stated, “In addition there will be a further excess of assets over liabilities to the tune of ₹44,776.34 crore in the transferee company upon the effectiveness of the scheme (expected, based on March 31, 2025 financial figures).” 

The bench also recorded that the merger is commercially justified as it will streamline the group structure, reduce the number of entities requiring separate oversight and generate operational synergies.

Adani Ports Share Price Performance  

As of December 19, 2025, at 12:10 PM, Adani Ports and Special Economic Zone Limited share price is trading at ₹1,493.60 per share, reflecting a decline of 0.14% from the previous closing price.  

Conclusion 

With the first-stage approval in place, Adani Ports has moved closer to completing the merger of Adani Harbour Services, a step aimed at simplifying its corporate structure and strengthening operational efficiency. The final outcome will depend on the next phase of tribunal proceedings after regulatory representations are received.
