Microsoft Corp.’s investment in OpenAI has been valued at approximately $135 billion following a recapitalisation and restructuring of the AI startup’s corporate framework. The updated arrangement strengthens the long-term partnership while simplifying governance under nonprofit oversight.
Microsoft now holds about 27% of OpenAI Group PBC on an as-converted diluted basis, inclusive of all owners. Previously, Microsoft’s stake stood at 32.5% in the for-profit entity before recent funding rounds.
OpenAI announced that the nonprofit entity, renamed the OpenAI Foundation, will maintain control over the company’s mission. The foundation holds equity in the for-profit arm valued at around $130 billion, ensuring alignment with its goal of advancing artificial general intelligence responsibly.
The restructuring addresses months of scrutiny over OpenAI’s governance and the balance between commercial growth and nonprofit oversight. The revised pact provides the nonprofit with a more direct pathway to resources needed for long-term research and development.
The updated structure reinforces Microsoft’s strategic role as a key partner in OpenAI’s growth while maintaining nonprofit control. This alignment is expected to support continued innovation in AI technologies and strengthen investor confidence in OpenAI’s governance model.
