Samvardhana Motherson International Limited has notified stock exchanges regarding a corporate development involving one of its overseas entities. 

The company confirmed that Atsumitec (HK) Co. Limited, an indirect subsidiary, has been deregistered from the Hong Kong Companies Registry and consequently dissolved. 

The disclosure was made under Regulation 30 of SEBI’s Listing Regulations.

Dissolution of Atsumitec HK

Atsumitec (HK) Co. Limited was an indirect subsidiary in which Samvardhana Motherson International Limited held a 95% shareholding. 

The entity was deregistered from the Companies Registry in Hong Kong following completion of its dissolution process, which became effective from December 12, 2025.

The decision to dissolve the company was taken by its shareholders prior to Samvardhana Motherson’s acquisition of Atsumitec Co. Ltd., Japan, in March 2025. Atsumitec HK was not engaged in any active business operations at the time of dissolution.

Financial Contribution of the Subsidiary

For the financial year 2024–25, Atsumitec HK reported revenue of HKD 0.53 million. Its net worth stood at HKD 13.5 million as of March 31, 2025. Given its limited operational activity, the subsidiary’s contribution to the group’s overall revenue and net worth remained marginal.

Regulatory Disclosure

The company made the disclosure in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, along with the applicable SEBI master circular. As the dissolution did not involve any sale or disposal transaction, disclosures relating to consideration, buyers, or related party transactions were stated as not applicable.

SamvardhanaMotherson International Limited’s shares were trading at ₹110.55 as of January 20, 2026 at 09:42 AM, marking a decline of 2.21% from the previous close of ₹114.79. The stock opened at ₹114.30 and recorded an intraday low of ₹110.73.
