Kumar Mangalam Birla-Led Aditya Birla Group’s Hindalco Arm Novelis Raises $750 Million

Hindalco Industries Ltd, part of the Aditya Birla Group led by Kumar Mangalam Birla, announced that its wholly owned subsidiary, Novelis Inc., has entered into a subscription agreement with AV Minerals (Netherlands) N.V. 

The transaction involves AV Minerals subscribing to 50,00,000 common shares of Novelis at $150 each, totalling $750 million. 

AV Minerals Subscribes to 50,00,000 Novelis Shares 

As per the agreement, AV Minerals, the sole shareholder of Novelis and a fully owned unit of Hindalco Industries, has agreed to invest $750 million. This was done through the acquisition of 50,00,000 common shares of Novelis at $150 per share.  

Novelis officially filed the transaction details with the U.S. Securities and Exchange Commission via Form 8-K. This move is positioned to reinforce Novelis’ capital base amidst its ongoing operational recovery. 

Background on Novelis’ Operational Updates 

In November 2025, Satish Pai, Managing Director of Hindalco, discussed the quarterly performance, mentioning that disruptions caused by a fire at Novelis’ Oswego plant impacted Q3 results.  

The Oswego facility was expected to restart by early December. Novelis aims to normalise operations, with attention on performance in coming quarters following the fire incident.

Hindalco Ongoing Projects 

The company stated that while its US operations are recovering, inflationary pressure in the US contributed to higher input costs in projects such as the Bay Minette plant, which adds significant production capacity for Novelis. 

Hindalco Industries Share Price Performance  

As of December 30, 2025, at 3:07 PM, Hindalco Industries share price on NSE was trading at ₹884.15 up by 2.21% from the previous closing price. 

Conclusion 

Hindalco's subsidiary Novelis received a capital injection of $750 million through a private subscription agreement with AV Minerals. The transaction is intended to support Novelis’ capital requirements amid its gradual recovery from operational disruptions in the United States.
