
KPI Green Energy Limited has announced a significant move in its capital structure by approving the issuance of equity warrants.
This decision was taken during the board meeting held on December 17, 2025, and involves a preferential issue to Quyosh Energia Private Limited.
The board has approved the issuance of up to 1,01,00,000 fully convertible equity warrants. Each warrant allows the holder to subscribe to 1 equity share with a face value of ₹5.
The issue price for each warrant is set at ₹470.30, which includes a premium of ₹465.30. This issuance is in accordance with the SEBI ICDR Regulations, 2018.
The total amount expected to be raised through this issuance is ₹475,00,30,000. Quyosh Energia Private Limited, part of the promoter group, is the sole investor in this preferential issue.
Upon full conversion of the warrants, Quyosh Energia's shareholding in KPI Green Energy will increase significantly. The pre-issue shareholding of Quyosh Energia is 500 shares, which is negligible.
Post-issue, assuming full conversion, their shareholding will rise to 1,01,00,500 shares, representing 4.87% of the company's equity.
The payment structure for the warrants involves an initial payment of 25% of the issue price at the time of allotment, with the remaining 75% payable upon conversion into equity shares. The warrants have a tenure of 18 months and can be converted in one or more tranches.
The company has scheduled an Extraordinary General Meeting (EGM) on January 16, 2026, to seek shareholder approval for this preferential issue.
The EGM will be conducted via video conference. The cut-off date for e-voting is January 9, 2026, with the e-voting period from January 13 to January 15, 2026.

As of December 17, 2025, at 2:52 PM, KPI Green Energy share price on NSE was trading at ₹418.50 down by 1.54% from the previous closing price.
