In a strategic move to strengthen its business focus and unlock greater shareholder value, Tata Motors Ltd (TML) has successfully demerged its commercial vehicles and passenger vehicles businesses into two distinct entities. Let’s take a closer look at the details of the demerger and what it means for shareholders.

Tata Motors Commercial Vehicle (TMLCV) Listing Plan

The company had earlier declared October 14, 2025, as the Record Date to determine eligible shareholders who would receive shares in the newly demerged commercial vehicle entity.

Here’s what happened:

  • During a special pre-open session on NSE on October 14, 2025, the share price of Tata Motors adjusted to reflect the demerger.
  • The Passenger Vehicles business (TMPVL) was discovered at ₹400 per share, a decline of 39.5% (₹260.75) from its previous close, reflecting the removal of the commercial vehicles business from its valuation.
  • Shares of the newly demerged commercial vehicle company, TMLCV, soon to be called Tata Motors Limited, are expected to begin trading on NSE and BSE in November 2025.

Tata Motors Demerger Explained

The restructuring, approved by the Board in August last year, is now fully in effect. The two independently listed businesses, one for commercial vehicles and the other for passenger vehicles, including EVs and Jaguar Land Rover (JLR) has now come into effect.

  • Effective Date: The demerger became effective on October 1, 2025, with the Appointed Date being July 1, 2025.
  • The Commercial Vehicles business of Tata Motors has been transferred to a new entity: TML Commercial Vehicles Ltd (TMLCV).
  • The Passenger Vehicles and EV business, along with Tata’s stake in JLR, now resides within the original listed company, which will be renamed Tata Motors Passenger Vehicles Limited (TMPVL). Importantly, TMLCV will adopt the original name Tata Motors Limited, as it carries forward the legacy of the commercial vehicles division.
  • Listed Status: The current Tata Motors remains a listed entity, but with a new name and focused business scope. The new Tata Motors (i.e., TMLCV) will also be listed separately on BSE and NSE.

Objective Behind the Tata Motors Demerger

The decision to demerge the business is focused on leadership and dedicated strategies that will help each business scale faster and respond better to market dynamics.

  • The commercial vehicle division will now operate as a standalone entity under the iconic Tata Motors brand, doubling down on innovation, fleet electrification, and domestic as well as export market growth.
  • The passenger vehicle arm, now renamed Tata Motors Passenger Vehicles Ltd, will intensify its efforts in the EV transition, premium product offerings, and expansion through JLR synergies.
