Narayana Hrudayalaya Limited has announced the acquisition of 100% equity shares of Practice Plus Group Hospitals Limited, a healthcare provider in the United Kingdom. 

The acquisition, valued at £188.78 million, was executed on October 30, 2025, by Narayana Hrudayalaya UK Ltd., a wholly owned subsidiary of Health City Cayman Islands Limited, which in turn is a wholly owned subsidiary of Narayana Hrudayalaya Limited. This strategic move significantly strengthens the company’s international healthcare presence.

Details of the Acquisition

As per the disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the acquisition involves 60,001 equity shares of face value £0.02 each at a per-share price of £3,146.29. 

The deal, fully funded through cash consideration, grants Narayana Hrudayalaya complete ownership of Practice Plus Group Hospitals Limited. The acquisition is expected to close within 6 business days of the signing date or such other date as mutually agreed upon between the buyer and seller.

Practice Plus Group Hospitals Limited, incorporated on November 10, 1997, operates a chain of hospitals and healthcare centres across the United Kingdom. The company manages 7 hospitals, 3 surgical centres, 2 urgent treatment centres, 3 musculoskeletal and diagnostic centres, and 1 ophthalmology centre, with a total of 330 in-patient and out-patient beds. 

It employs around 2,500 full-time staff, including nearly 1,300 doctors and clinical professionals. The company reported turnover of £229 million in FY24 and an estimated £250 million in FY25.

The acquisition does not involve any related party transactions and was executed at arm’s length. No additional regulatory approvals were required. The purchase consideration of £188.78 million provides Narayana Hrudayalaya with complete ownership of the target entity, broadening its footprint in the UK healthcare sector and strengthening its overseas growth portfolio.

Financial Performance of the Target Company

Practice Plus Group Hospitals Limited has demonstrated steady growth over the past 3 years, with turnover figures as follows: GBP 211 million in FY23, GBP 229 million in FY24, and an estimated GBP 250 million in FY25. The acquisition is expected to be earnings-accretive and will add a well-diversified stream of international revenues to Narayana Hrudayalaya’s consolidated operations.
