
ICICI Bank has announced the acquisition of an additional 2% stake in ICICI Prudential Asset Management Company (AMC) from Prudential Corporation Holdings Limited (PCHL).
This transaction, valued at ₹21.40 billion, is aimed at maintaining the bank's majority shareholding in the asset management company.
On December 8, 2025, ICICI Bank executed a share purchase agreement with PCHL to acquire a 2% stake in ICICI Prudential AMC. The asset management company had total assets of ₹48.27 billion as of September 30, 2025, with a turnover of ₹29.49 billion and a profit after tax of ₹16.18 billion for the 1st half of 2026.
This acquisition is classified as a related party transaction, conducted at arm's length. ICICI Bank, which does not have any promoters, continues to hold a majority stake in ICICI AMC.
The primary objective of this acquisition is to maintain ICICI Bank's majority shareholding in ICICI AMC, particularly in light of potential stock-based compensation grants by the asset management company. The Reserve Bank of India has approved this transaction, subject to compliance with applicable regulations.
The acquisition involves a cash consideration of ₹21.40 billion, determined by an independent valuer. The transaction is expected to be completed on or before December 10, 2025.
