Mahindra & Mahindra Streamlines Defence Business with Internal Reorganisation

Mahindra & Mahindra Ltd has reorganised its defence segment by moving stakes between group companies, as per the filing. The transactions involve Mahindra Defence Systems Ltd (MDSL), Mahindra Advanced Technologies Ltd (MATL), Mahindra Emirates Vehicle Armouring FZ LLC (MEVA), and Mahindra Telephonics Integrated Systems Ltd (MTISL).
Agreements Signed on June 25
On June 25, MDSL signed agreements to sell its 88% stake in MEVA and its entire holding in MTISL to MATL. In a separate deal, M&M transferred its full stake in MDSL to MATL. The expected date for completion of all transactions is September 23, 2025.
MEVA’s shares were valued at ₹33.66 crore, and MTISL’s at ₹4.53 crore. MDSL’s stake was transferred through a share swap instead of cash, with the unit valued at ₹1,218.16 crore. All payments will be made in one or more tranches.
Change in Subsidiary Status
After the transfers, MEVA and MTISL will become subsidiaries of MATL instead of MDSL. Mahindra Armoured Vehicles Jordan LLC, a subsidiary of MEVA, will also move under MATL. MDSL will no longer be a direct subsidiary of M&M but will remain under the group via MATL.
Business Contribution
For FY25, MEVA recorded an operational revenue of ₹90.09 crore. This figure represents 0.06% of the group's total consolidated turnover. In comparison, MTISL contributed 0.04% to the group's turnover, while MDSL accounted for a more significant 0.60%
All entities involved are part of the Mahindra Group. These are related party transactions carried out at arm’s length. The company clarified that the restructuring is not part of any court-approved scheme.

Mahindra & Mahindra Share Price Performance
As of 10:27 AM on June 26, 2025, Mahindra & Mahindra share price was trading at ₹3,198.10, a 0.54% decrease, up 7.71% over six months, and 12.40% over the past year.
Conclusion
The transfers consolidate Mahindra’s defence operations under one subsidiary, MATL. The transactions remain internal, with no change in overall group control.
