
Bonfiglioli Transmissions, a leading designer and manufacturer of high-precision gearmotors, has submitted preliminary documents to the Securities and Exchange Board of India (SEBI) to launch an initial public offering (IPO).
The IPO is being managed by a consortium of leading investment banks, including Axis Capital, ICICI Securities, Jefferies India, and BNP Paribas, with MUFG Intime India Pvt Ltd acting as the registrar. The company’s shares are expected to be listed on both the National Stock Exchange (NSE) and the BSE.
According to the company’s draft red herring prospectus (DRHP), the proposed IPO will be a pure offer for sale, with promoter Bonfiglioli S.p.A. putting 46,998,959 equity shares on the block.
Since the issue does not include a fresh issue component, the company itself will not raise any funds, with the proceeds from the sale going entirely to the selling promoter.
Recently, Bonfiglioli Transmissions strengthened its board with key appointments: Ravindra Pisharody as Chairperson and Independent Director, and Rossella Schiavini and Sundaresan Ananthanarayanan as Independent Directors.
Under the proposed allocation structure, 50% of the net offer will be reserved for qualified institutional buyers (QIBs), while non-institutional investors (NIIs) and retail individual investors will receive 15% and 35%, respectively.

Bonfiglioli Transmissions is one of India’s largest technology-driven providers of mechanical and electro-mechanical power transmission and industrial drive solutions, based on revenue for the nine-month period ending September 30, 2025. The company manufactures a wide range of mission-critical, precision-engineered gearboxes and drive systems, serving diverse industries and end-user markets.
