KKR’s Vertis Infra Trust Eyes ₹3,000 Crore IPO; DRHP Filing Expected This Month

Vertis Infrastructure Trust, backed by KKR, is expected to file its draft red herring prospectus (DRHP) for an Initial Public Offering (IPO) by the end of May, according to The Moneycontrol reports.  

The proposed issue size is estimated at up to ₹3,000 crore. The offering is likely to include both fresh issuance and an offer for sale. The final structure and size remain under discussion and could be revised. 

Portfolio and Asset Base 

Vertis Infrastructure Trust operates a portfolio of toll and annuity-based road assets across India. The platform was established in 2021 after acquiring operational road projects from Global Infrastructure Partners. This provided an initial pan-India presence. 

The InvIT expanded further in 2024-25 through the acquisition of around 12 hybrid annuity model projects from PNC Infratech, in a transaction valued at about ₹9,000 crore.  

The trust currently holds 28 road projects across 9 states, covering 8,428 lane kilometres. The total portfolio value is estimated at nearly ₹26,500 crore. 

Structure and Capital Requirement 

Reports indicated that the trust may not require a large amount of primary capital, which could lead to a smaller fresh issue component. The balance may come through secondary share sales.  

The final decision on the mix and size of the offering is yet to be taken. The sponsor did not respond to queries on the proposed listing. 

InvIT Market Activity 

The planned IPO comes amid steady activity in the InvIT segment. These structures are typically used to hold income-generating infrastructure assets and distribute cash flows to investors. 

In March, the National Highways Authority of India raised over ₹9,000 crore through its InvIT offerings.  

One of its issues recorded a subscription of 13.74 times. In April, Citius Transnet Investment Trust raised ₹1,105 crore, with subscription exceeding 20 times.
