
Tata Steel Ltd has acquired 1.49 billion equity shares in its wholly owned subsidiary, T Steel Holdings Pte Ltd (TSHP), through a fresh equity subscription of $150 million, the company disclosed on December 19, 2025. The acquisition is part of a continuing funding exercise announced earlier in the year.
The company subscribed to 1,488,095,239 equity shares of TSHP. Each share has a face value of $0.1008. The total consideration for the transaction stood at $150 million, which translates to ₹1,354.94 crore based on the Reserve Bank of India reference exchange rate of ₹90.3291 per US dollar as on December 17, 2025.
The investment was made through a direct subscription to equity shares, resulting in an increase in the subsidiary’s paid-up capital.
This acquisition follows multiple disclosures made by Tata Steel between May and October 2025, where the company had outlined plans to infuse funds into TSHP in phases. The December transaction represents the latest tranche under that broader funding plan.
Rather than a single large transaction, the capital has been infused over several months, indicating a staggered approach to funding the overseas entity.
After the allotment of new shares, T Steel Holdings continues to be a wholly owned foreign subsidiary of Tata Steel. The company confirmed that there has been no change in ownership, control, or shareholding pattern as a result of the transaction.
TSHP serves as an overseas holding entity within Tata Steel’s corporate structure. The disclosure did not specify the exact purpose for which the additional capital will be used.
As of December 22, 2025, 10:16 am, Tata Steel share price was trading at ₹170.59, a 1.21% increase from the previous close.

With this $150 million equity subscription, Tata Steel has continued its phased capital support to T Steel Holdings, increasing the subsidiary’s equity base while maintaining full ownership and control.
