
On January 23, 2026, PTC India’s Board took an important step in its management transition, as the Ministry of Power directed restructuring that places NTPC as the sole promoter. Key partners PFC, NHPC, and PowerGrid are set to withdraw their nominee directors and relinquish associated rights in the company, paving the way for a simplified leadership structure.
The Ministry of Power issued an Office Memorandum, leading PTC India's Board to acknowledge NTPC as the only remaining promoter. As part of the directive, PFC, NHPC, and PowerGrid must formally communicate their withdrawal from promoter roles and resign their nominee directors from the PTC Board. The restructuring aims to consolidate management under NTPC, which is also overseen by the Ministry.
With this change, the current CMD role at PTC India has been split to create distinct positions. The CMD of NTPC will hold the office of Non-Executive Chairman at PTC, while the existing CMD of PTC India is redesignated as the Managing Director (MD). This split intends to streamline responsibilities within the newly restructured setup.

An Executive Director from NTPC’s CP&BD division has been named as the Nodal Officer to implement and monitor the restructuring. This officer will ensure that the changes directed by the Ministry of Power are put into effect smoothly. The Ministry may also choose to withdraw its own nominee director from PTC India’s Board following the completed transfer of management control to NTPC.
PTC India’s promoter structure now stands reorganised with NTPC taking full control following the Ministry of Power's directive. With the CMD role split and a clear leadership assignment, the company enters a new phase under central oversight.
