On September 2, 2025, Waaree Energies Ltd. said its board approved the acquisition of a majority stake in Kotson’s Private Limited, as per an exchange filing. The company will buy 64% of Kotsons’ share capital for ₹192 crore. The deal involves the purchase of 2.56 crore shares priced at ₹75 each, with a face value of ₹10 per share.
Kotson’s Private Limited was incorporated on April 22, 1978. The company is engaged in designing, manufacturing, and supplying transformer solutions. Its product range includes oil-filled transformers, dry-type models, special-purpose transformers, and those used in renewable energy projects. The company’s plant has a production capacity of 4,000 MVA.
The acquisition will be carried out through cash consideration. Waaree Energies confirmed that this is not a related party transaction, as the promoters or group companies have no prior interest in Kotsons. Once completed, Kotsons will operate as a subsidiary of Waaree Energies.
According to the filing, the acquisition is scheduled for completion by September 30, 2025. The company noted that this date could be extended if both parties agree. No governmental or regulatory approvals are required for the transaction.

Separately, Waaree Energies also approved the acquisition of 100% shareholding in Impactgrid Renewables Private Limited. Impactgrid, a step-down subsidiary, is a newly incorporated entity in the renewable energy sector. The acquisition value is recorded at ₹1 lakh, covering 10,000 shares at a face value of ₹10 each. The company stated that this transaction is expected to close during FY 2025-26.
As of September 3, 2025, 11:01 AM, Waaree Energies share price was trading at ₹3,214.20, a 0.47% increase from the previous closing price.
With the acquisition of Kotsons, Waaree Energies will expand its control in the transformer segment. Impactgrid Renewables, once acquired, will also add to its renewable energy portfolio. Both transactions are aimed at the consolidation of subsidiaries within the group.
