SKF India Limited recently received approval from the National Company Law Tribunal (NCLT), Mumbai Bench, for its Scheme of Arrangement. The scheme involves a demerger of SKF India’s industrial business into a new entity, SKF India (Industrial) Limited, effective from 1st October 2025.
Under the scheme, shareholders of SKF India will be allotted equity shares in SKF Industrial on a 1:1 basis. This means each shareholder holding one fully paid-up SKF India share of ₹10 will receive one fully paid-up equity share of ₹10 in SKF Industrial. Eligible shareholders are those whose names appear in the company’s register of members or depository records as of the Record Date, set for October 15, 2025.
The newly allotted shares of SKF Industrial are proposed to be listed on both BSE Limited and the National Stock Exchange of India, subject to regulatory approvals. This ensures transparency and liquidity for shareholders as the spin-off is executed.
The spin-off is expected to create two independent listed entities, potentially improving operational focus and shareholder value. SKF India shareholders can look forward to holding shares in the newly listed SKF Industrial, which will operate as a separate industrial business.
On Oct 15, 2025, as 11:23 AM, SKF India share price was trading at ₹2,265, down ₹35 or 1.52% from its open price of ₹2,300. The stock opened at ₹2,300, reached a high of ₹2,300 and a low of ₹2,185 during the session. Compared to its issue price, the stock has seen a significant decline of ₹2,743.40, which translates to a drop of 54.78%.

SKF India’s spin-off marks a significant restructuring aimed at unlocking value for shareholders. Those holding SKF India shares as of October 15, 2025 will receive an equivalent number of shares in SKF Industrial in their demat accounts, positioning them to benefit from the independent growth prospects of both companies.
