Sellwin Traders Limited (BSE: 538875) has signed an MoU with Shivam Contracting Inc. (SCI), a U.S.-based construction company, to invest up to USD 6 million (approx. ₹52 crore). The investment will be made through the issuance of Sellwin’s shares at a minimum of ₹18 per share, giving the company up to a 60% stake in SCI.
SCI has committed to repatriating funds to India within two years of each tranche, with a guaranteed annual return of at least 7%. This structure ensures stable and risk-adjusted returns for Sellwin’s shareholders. The final valuation of SCI will be completed by December 31, 2025.
The definitive investment will require clearances from multiple regulators, including RBI, SEBI, BSE, FEMA, and MCA in India, as well as approvals from U.S. authorities.
On August 21, 2025, Sellwin also signed an MoU with Dubai-based Global Market Insights IT Services (GMIIT) to acquire over 51% stake for USD 1 million. This acquisition will expand Sellwin into IT services, consulting, digital solutions, and joint marketing in the Gulf region. GMIIT specialises in AI, blockchain, cybersecurity, and digital transformation.
In Q1FY26, Sellwin reported a net profit of ₹3.14 crore, a 350% year-on-year increase from ₹70 lakh in Q1FY25. Revenue rose 31% to ₹21.85 crore. For FY25, the company reported a net profit of ₹2.79 crore and revenue of ₹74.28 crore.
The board has also approved raising funds through the issuance of up to 4.75 crore warrants at a minimum price of ₹8.40 per warrant to support future expansion.

Commenting on the developments, Director Monil Vora said the U.S. investment and Gulf acquisition align with Sellwin’s global growth vision. He highlighted that the moves will strengthen exposure to the U.S. infrastructure sector and IT markets in the Gulf while delivering attractive returns.
Sellwin Traders share price (BSE: 538875) closed at ₹10.14 on August 22, 2025, up 1.91% or ₹0.19. The stock opened at ₹10.14, which was also its intraday high and low. The company has a market capitalisation of ₹233.14 crore and trades at a P/E ratio of 44.60. It does not offer a dividend yield. Over the past 52 weeks, the stock has touched a high of ₹10.14 and a low of ₹2.71.
