Paushak Limited has informed the BSE that its Board of Directors will meet on Monday, August 11, 2025. The agenda includes considering the financial results, along with proposals for a stock split and bonus share issue.
The company will review the possibility of a sub-division of its existing equity shares. Currently, the equity shares have a face value of ₹10 each. The proposed sub-division will change this to a new face value, which will be determined by the Board and communicated to the shareholders. This proposal is being made in accordance with the applicable provisions of the Companies Act, 2013, including the rules framed thereunder, and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Alongside the stock split, the board will also consider issuing bonus shares to existing shareholders. This move will be subject to provisions under the Companies Act, 2013 and SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018. Any bonus share issue, if approved, will also require shareholder consent.
In line with the company’s code of conduct, the trading window for designated persons and their immediate relatives has been closed with immediate effect. It will reopen 48 hours after the outcome of the board meeting is made public.
This is a standard compliance measure under SEBI’s insider trading regulations.
