Kotak Mahindra Capital Company Limited acted as the book-running lead manager, and MUFG Intime India Private Limited was the registrar to the issue.
Groww is India’s largest retail stockbroker by active clients. The company provides investment services through its digital platform, offering equity, mutual funds, and other investment products.
Its active client base grew at a CAGR of 101.7% between FY21 and FY25, compared with the industry average growth of 27%.
Groww’s market share rose to 26.3% in FY25, an increase of 2,213 basis points from FY21. Its share of active clients on the NSE for the September 2025 quarter stood at 26.3%.
During FY24–FY25, Groww accounted for 51% of incremental NSE active clients, while in FY25, it contributed 40% of incremental additions. The company’s cash active clients rose 47.7% between FY24 and Q1 FY26 to 10.3 million.
The IPO consisted solely of a fresh issue and offer for sale. The fresh issue aimed to raise ₹1,060 crore for growth and expansion, while existing shareholders sold 55.72 crore shares through the OFS, amounting to ₹5,572.30 crore.
The issue was made through the book-building process under SEBI regulations, with allocations across Qualified Institutional Buyers (QIBs), Non-Institutional Investors (NIIs), and Retail Individual Investors (RIIs).
On listing day, Groww shares opened higher than the issue price on both exchanges. The shares listed at ₹112 on NSE and ₹114 on BSE, marking a 12–14% premium.
The listing followed strong demand during the subscription period and reflected the level of investor participation recorded in the IPO process.
