GMR Airports Approves ₹5,000 Crore Fundraising, to Set Up SPV for Delhi Cargo City Project

GMR Airports Limited (formerly GMR Airports Infrastructure Limited) has announced key decisions from its Board meeting held on August 21, 2025. The company has laid out ambitious plans to mobilise substantial capital and undertake a large-scale infrastructure project at Delhi’s Indira Gandhi International Airport. These steps underline GMR’s commitment to growth in the aviation and cargo handling sector.
Fundraising Approval of Up to ₹5,000 Crore
The Board of Directors of GMR Airports Limited approved an enabling resolution for raising funds up to ₹5,000 crore. The financing will be structured in one or more tranches through various instruments, including fully paid-up equity shares, non-convertible debentures with warrants, convertible securities, Qualified Institutions Placement (QIP), or Foreign Currency Convertible Bonds (FCCBs).
The resolution will be recommended to shareholders for approval, subject to necessary statutory and regulatory clearances. This move highlights the company’s strategy to strengthen its financial position and pursue growth opportunities in the infrastructure and aviation sectors.
Formation of Cargo City SPV
In a significant development, the Board also approved the creation of a wholly owned subsidiary as a Special Purpose Vehicle (SPV) to execute the Cargo City Project at Indira Gandhi International Airport, New Delhi. The project was awarded by Delhi International Airport Limited (DIAL) to GMR Airports.
The SPV will be responsible for financing, designing, developing, constructing, operating, managing, and maintaining the Cargo City. This decision follows the company’s earlier announcement on August 13, 2025, confirming GMR as the selected bidder for the project.
