Enviro Infra Engineers Limited has officially completed the acquisition of Vento Power Infra Private Limited through its wholly owned subsidiary, EIE Renewables Private Limited.
The definitive agreements with PTC India Financial Services Limited were executed on 20 August 2025, following the earlier Letter of Intent issued in June 2025. The acquisition has been completed for a cash consideration of ₹115.6 crore, giving Enviro Infra 100% ownership of Vento Power Infra, which now becomes a step-down subsidiary of the company.
Vento Power Infra Private Limited was incorporated on 23 April 2015 and is currently engaged in the development of a 40 MW (AC) grid-connected solar power project in Bolangir District of Odisha.
The electricity generated from this project will be sold at a tariff of ₹4.1 per unit for a period of approximately 18 years.
For the financial year ending March 2024, the company reported a turnover of ₹16.50 crore, compared to ₹17.34 crore in FY23 and ₹19.86 crore in FY22. As of March 2024, its net worth stood at a negative ₹79.18 crore.
The acquisition marks Enviro Infra Engineers’ expansion into the renewable energy sector, aligning with its long term vision of building a sustainable and future oriented business portfolio.
By acquiring Vento Power Infra, the company is tapping into opportunities within the fastgrowing non conventional energy space while securing long term revenue visibility through the Odisha solar project.
The transaction was supported by Deloitte Touche Tohmatsu India LLP, which acted as the sell side transaction advisor, while Saraf and Partners served as the legal advisor for the deal.
Enviro Infra Engineers shares were trading higher at ₹267.10, up by ₹7.35 or 2.83 percent at 10:30 AM on the NSE. The stock opened at ₹261.00, touched an intraday high of ₹274.00 and a low of ₹260.95, compared to the previous close of ₹259.75. The volume-weighted average price (VWAP) stood at ₹269.78, reflecting positive investor sentiment around the acquisition.
